J. Crane & Company provides Chief Financial
Officer (CFO) services for public companies, including
undertaking full responsibility for our client’s
accounting records.
We prepare quarterly and annual
SEC filings, such as forms 10Q and 10K. We typically
control all communications with our client’s PCAOB
auditors, securities attorneys, and the SEC. General
business, tax and financial consulting services are also
available. In the past, we have negotiated compensation
in the form of stock or cash, or a mixture of both stock
and cash.
J. Crane & Company is actively seeking
new business with private companies looking to complete
traditional initial public offerings or self registrations
on Form S-1 or Form 10.
Through October 2008, J.
Crane & Company worked with its clients to complete
6 self registrations on Form S-1 and one Form 10 self registration.
Services and responsibilities
we typically offer to our clients:
1.
Oversight for
financial and accounting purposes, for all Form 10-Q,
Form 10-K, Form S-1 or Form 10 filings with the SEC,
preparation of financial statements and other financial
data to be included in such filings
2.
Representation
of the Company for accounting purposes, in any communications
or negotiations with the SEC with regard to Form S-1
of Form 10 filings, SEC inquiries or SEC investigations
3.
Management of
all communications with PCAOB auditors and securities
counsel, with minimal intrusion to the Company’s
management
4.
Oversee and
assist with the preparation of documents and/or data
related to debt or equity financing actions
5.
Review and management
of the client’s stock market listing requirements,
and management of the listing process
6.
Advisory services
with regard to investment banking opportunities, capital
structure and investor relations
7.
Represent the
Company as a financial expert before the SEC or other
regulatory authorities
8.
Serve as the
Company’s “audit committee financial expert” as
defined by the SEC
We maintain a subscription to one of the
highest regarded accounting research databases available.
In addition to performing research services, we write and
issue opinion letters regarding various financial accounting
topics for our clients. These opinion letters help our
clients to work more effectively with auditors, the SEC,
management and even investors, with regard to highly technical
accounting topics. The most common use of
our opinion letters is to resolve internal management struggles
over confusing but important accounting regulations. Also,
from time to time our clients will request an opinion letter
in order to support a position they have taken or wish
to take with their auditors.
